Organizational Setting and Reporting Relationship
The position of Senior Legal Operations Assistant is assigned within the Office of the General Counsel (OGC). You will be based at our Headquarters in Manila, Philippines.
You will report to a designated International Staff and Officer (as applicable).
Your Role
As a Senior Legal Operations Assistant, you will provide analytical, technical, and support coordination to OGC by performing the activities described below.
You will:
Work independently on all or a combination of the following defined areas, depending on the assignment and duties agreed in the individual work plan.
a. Correspondence and Documentation Production
Maintain different documents, e.g. Administrative Tribunal submissions, Board papers, Appeals Committee papers, review of Administrative Cases, interpretation of ADB procedures, Administrative Orders and Circulars, Asian Development Fund papers, loan documents, ADB Borrowings/Swap transactions, and routine correspondence, back-to-office reports and effectiveness letters for public/private sector loans;
Help prepare materials for seminars (e.g. Microsoft, PowerPoint presentations, and transparencies).
b. Project Processing
Provide support in drafting loan documents i.e. providing templates, formatting, editing, proofreading, and fine-tuning; request for amortization schedules and minutes of loan negotiations; monitors status of project processing, administrative/tribunal review cases, and documentation for ADB borrowings;
Help consolidate conditions precedent documents before drawdown/disbursement of private sector projects, and preparation of ADB-generated project documents.
c. Legal Documents and Information Monitoring
Maintain updated filing system;
Select and upload memoranda and signed loan documents, minutes of lawyers' meetings , and Law, Policy, and Reform (LPR) technical assistance (TA) into the iManage database and Resource Center or to the designated shared files/folder;
Monitor incoming documents and e-mails for action or reassignment (in the absence of the counsel responsible) and update counsel's schedule of mission/leave in the designated shared files/folder.
d. OGC Law, Policy and Reform
Provide support in processing/administration of LPR projects, preparation of TA Board papers/other documents;
Prepare correspondence with Government and consultants;
Prepare contract variations; collaborate with consultants on different aspects of contract administration; handle of files/other documents; and make arrangements for TA missions. Provide overall assistance in LPR activities, in administrative arrangements for OGC-sponsored seminars; produce LPR publications from consultants' reports; gather information on domestic and international private/public institutions; maintain mailing lists; and mail LPR publications.
e. ADB Borrowings and Swap Transactions
Sort, compile, and monitor documentation related to ADB borrowing/swap transactions and in consultation with the Treasury Department, help prepare necessary draft documentation from the internal authorization stage (e.g. President's Memorandum and Secretary's Certificate) to processing and closing stages, and ensure that above documentation are filed and bound in volumes for OGC use.
f. Research
Under direction, gather information from books, documents, and other publications from different sources, the Main Library, and the Internet, as legal and/or background materials for project and non-project matters.
g. Others
Provide transcription and logistical support, including travel arrangements. Guide new and temporary assistants on office procedures. Be a backup assistant to other counsel on a temporary basis in the absence of the assigned assistant and provide other ad-hoc support related to OGC operations.
Qualifications
You will need:
- Bachelor's degree with good working knowledge of ADB or similar multilateral development bank's project-related and technical assistance (TA) operation and administration.

This appointment is open to internal and external applicants.
This is a fixed-term appointment for an initial fixed period of 3 years. At the end of the initial period, this appointment may, at the option of ADB, be extended once for up to 2 years, converted to a regular appointment, or ended on its expiration date. This decision will be made in the overall interest of ADB that: (a) it will require Staff's particular blend of skills and experience in the foreseeable future; and (b) Staff's performance is satisfactory and they are suitable for further employment.
