Our mission is to leverage the power of the private sector to end extreme poverty and boost shared prosperity on a livable planet.ย IFCโs Public-Private Partnership (PPP) Transaction Advisory Services (CTAPP) provides sell side financial advisory services and acts as Lead Transaction Advisor to governments to structure and implement PPP and privatization transactions, primarily for the provision of public services. Its aim is to increase access to basic infrastructure (electricity, water, transportation and telecommunications) and social services (health and education) as well as facilitate private investments. Drawing on more than 25 years of experience and over 120 staff across the globe, CTAPP is managing over 100 active client engagements.ย
In addition to these activities, IFC Transaction Advisory Services also provides Corporate Finance Services (CFS), which include M&A (buy-side / sell-side transactions), debt advisory and restructuring work, as well as advice on equity transactions (eg: pre-IPO advisory services) including on cross border transactions, and capital raising services to address a financing gap that may exist post-IFC investment.ย
The CTAPP department is looking to recruit an experienced (Senior)ย Investment Officer (IO) for the Asia Pacific team who will support the regional team and management with the whole PPP transaction process of IFC acting as Lead Transaction Advisor in Indonesia and other countries in the region. The (Senior)ย IO will work under the supervision of the relevant Hub Leads, with a focus on Indonesia and beyond in the wider region, depending on needs.ย The team focuses on advising on the following types of transactions across all infrastructure sectors with a particular focus on energy, water and transport:ย
โข ย Public-Private Partnerships e.g. BOT type concessions.โข ย Performance-based Management and lease contracts; andโข ย Restructuring and privatization of state-owned enterprises.โข ย Corporate Finance type activities (equity raising, M&A, pre-IPO support).
Both origination activities and the preparation work of complex PPP transactions require close collaboration with the World Bank to ensure consistent country strategies and, if needed, access to expertise in institutional and sector reforms, as well as development of legal and regulatory frameworks including tariff structures.
The position is based in Jakarta, Indonesia and reports to the Hub Lead Indonesia for PPP Transaction Advisory Services, and the Regional Manager for PPP Transaction Advisory Services in EAP.
Roles and Responsibilitiesย The (Senior)ย IOโs work will involve the implementation of advisory mandates of a variety of types, including business development, interactions with clients, supervising consultant hiring, preparing and delivering presentations, overseeing financial modeling and due diligence, transaction structuring, drafting bidding documents and managing bidding processes, supporting negotiations, as well as interacting with investors. Duties will include, but will not be limited to:ย
1. Origination and Marketing Activitiesโข ย Contribute to origination and marketing activities across Indonesia and the wider EAP region (EAP).โข ย Manage marketing activity in assigned countries/strategic areas.โข ย Collaborate with other WBG teams to identify opportunities based on country strategies and market creation potential.โข ย Develop new client relationships and project leads in Indonesia.
2. Legal, Regulatory, and Feasibility Analysisโข ย Understand the legal and regulatory barriers for private sector participation in the working countries.โข ย Work closely with other parts of the WBG to overcome these impediments.โข ย Undertake project scoping to evaluate the viability of potential projects.โข ย Lead origination and marketing activities, including supervision of proposal preparation and mandate negotiation with clients.
3. Project and Consultant Managementโข ย Lead the day-to-day management of project preparation, including teams working on sell-side PPP mandates.โข ย Review legal and technical outputs, documentation, and financial models.โข ย Prepare/review memos and documentation for internal approval and consultant procurement processes.โข ย Manage project budgets effectively.โข ย Manage different types of consultants, including legal and technical experts.โข ย Review consultant outputs, documentation, and financial models to ensure quality and alignment with project goals.
4. Transaction Structuring and Stakeholder Engagementโข ย Develop transaction structure options for PPP projects.โข ย Provide innovative solutions and present recommendations to management and clients.โข ย Participate/Lead meetings with government clients and investors.โข ย Organize and manage the tendering process, including marketing, prequalification, requests for qualification, project award, and final negotiation of project agreements leading to closing deals.
5. Team Development, Strategy, and Knowledge Managementโข ย Develop, coach, and motivate junior members of the team.โข ย Work closely with EAP Hub Leads on sub-regional strategy, origination activities, and HR/staffing-related matters.โข ย Support knowledge management by sharing PPP and CFS knowledge and experience.โข ย Coordinate with different WBG groups to assess opportunities for PPPs in WBG operations and provide tailored solutions to clients.โข ย Support Corporate Finance-related mandates, including origination and execution.โข ย Prepare and deliver pitch presentations to companies, and advise on corporate structure, balance sheet structure, valuation, prospectus review, and corporate governance.
Additional Responsibilitiesโข ย Assist in other project or strategy-related activities as needed.
Selection Criteria
1. Educational Background and Professional Experienceโข ย MBA or equivalent Post Graduate degree in business, finance, or economics.โข ย Solid and relevant experience of at least 10-12 years in project finance, corporate finance, M&A, privatizations, or private equity funds in infrastructure.ย โข ย Minimum 2-4 years of experience in sell/buy-side M&A advisory is considered a plus.
